Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Cappers API ("Company," "we," "our," or "us") governing your access to and use of the Cappers API application programming interface and related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND ALL APPLICABLE LAWS AND REGULATIONS. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO ACCESS OR USE THE SERVICES AND MUST IMMEDIATELY CEASE ALL USE.

If you are accessing or using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" shall refer to both you individually and that organization.

IMPORTANT: Data Provider Notice

CAPPERS API IS EXCLUSIVELY A SPORTS DATA AND STATISTICS INFORMATION PROVIDER.

We provide factual sports statistics, odds information, historical data, and publicly available information for informational, analytical, and research purposes. Our role is limited to data aggregation and delivery.

What We Are NOT:

  • •We do NOT operate, facilitate, or provide any gambling, betting, or wagering services
  • •We do NOT accept, place, or process any bets or wagers
  • •We do NOT provide gambling advice, recommendations, or predictions
  • •We are NOT affiliated with or endorsed by any sportsbooks, casinos, or gambling operators
  • •We do NOT guarantee, warrant, or imply any outcomes of sporting events

Your Responsibilities:

You may use our data for any lawful purpose, including but not limited to fantasy sports platforms, sports analytics applications, betting platforms (where legal), media and publishing, or research. However:

  • →YOU are solely responsible for how you use the data and ensuring your use complies with all applicable laws
  • →YOU must obtain any necessary licenses or approvals for your specific use case in your jurisdiction
  • →YOU assume all risk and liability for your use of the data
  • →YOU must comply with all gambling, gaming, and betting regulations applicable to your operations

WE ARE A DATA PROVIDER ONLY. We are not responsible for, and have no liability related to, any decisions, actions, losses, or outcomes resulting from your use of the data.

API Access and Usage

API Keys

You are responsible for maintaining the confidentiality of your API keys. Do not share your API keys publicly or with unauthorized parties.

Rate Limits

Your API usage is subject to rate limits based on your subscription plan. Exceeding these limits may result in temporary service suspension.

Acceptable Use

You may not use our API to violate any laws, infringe on intellectual property rights, or engage in fraudulent activities. Abuse of our services may result in account termination.

License Grant and Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for lawful purposes in accordance with your subscription plan.

Prohibited Uses

You expressly agree NOT to:

  • →Resell, redistribute, sublicense, or commercialize raw API data or responses
  • →Create, develop, or operate a competing sports data API or similar service
  • →Reverse engineer, decompile, or attempt to discover our data sources or methodologies
  • →Cache, store, or retain data beyond 24 hours without explicit written permission
  • →Use the Services for any illegal purpose or in violation of any applicable laws
  • →Attempt to circumvent, disable, or interfere with security features or rate limits
  • →Use automated systems (bots, scrapers) that generate excessive API requests
  • →Misrepresent your affiliation with Cappers API or use our trademarks without permission
  • →Remove, obscure, or alter any proprietary notices, labels, or marks
  • →Use the Services to facilitate money laundering, fraud, or other illegal activities

Intellectual Property Rights

The Services, including all data, software, technology, designs, graphics, and other content, are owned by Cappers API and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Nothing in these Terms grants you any ownership rights to our intellectual property. All rights not expressly granted herein are reserved by Cappers API. The Cappers API name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Cappers API and may not be used without prior written permission.

Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted service. We reserve the right to modify, suspend, or discontinue any part of our service with reasonable notice.

Payment Terms

Paid subscriptions are billed monthly or annually based on your selected plan. All fees are non-refundable except as required by law.

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.

User Responsibilities and Representations

By using the Services, you represent, warrant, and covenant that:

  • →You are at least 18 years of age and have the legal capacity to enter into these Terms
  • →Your use of the Services complies with all applicable federal, state, local, and international laws
  • →You will not use the Services for any unlawful or prohibited purpose
  • →All information you provide to us is accurate, current, and complete
  • →You are solely responsible for maintaining the confidentiality of your API keys and credentials
  • →You accept full responsibility for all activities conducted under your account

Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CAPPERS API DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • →Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • →Warranties regarding accuracy, reliability, completeness, or timeliness of data
  • →Warranties that the Services will be uninterrupted, error-free, or secure
  • →Warranties regarding the results obtained from using the Services

WE DO NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING:

  • →The accuracy or reliability of sports statistics, odds, or any data provided
  • →The outcome of any sporting event or the validity of any odds or lines
  • →The suitability of the data for gambling, betting, or wagering purposes
  • →That the Services meet your specific requirements or expectations

DATA PROVIDED IS FOR INFORMATIONAL PURPOSES ONLY. YOU USE ALL DATA AT YOUR OWN RISK. WE ARE NOT RESPONSIBLE FOR ANY DECISIONS, ACTIONS, OR LOSSES RESULTING FROM YOUR USE OF THE SERVICES OR DATA.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CAPPERS API, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR:

  • →ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • →LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • →DAMAGES RESULTING FROM: (i) YOUR USE OR INABILITY TO USE THE SERVICES; (ii) UNAUTHORIZED ACCESS TO YOUR DATA; (iii) ERRORS OR INACCURACIES IN DATA; (iv) ANY CONDUCT OF THIRD PARTIES
  • →ANY BETTING, GAMBLING, OR WAGERING LOSSES OR DAMAGES OF ANY KIND
  • →ANY BUSINESS INTERRUPTION, SYSTEM FAILURE, OR DATA LOSS

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Indemnification

You agree to defend, indemnify, and hold harmless Cappers API, its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • →Your violation of these Terms or any applicable law or regulation
  • →Your use or misuse of the Services or data provided
  • →Your violation of any rights of any third party
  • →Any unauthorized access to or use of our servers and/or any personal information stored therein
  • →Your use of the Services for any illegal activities
  • →Any losses, damages, or liability arising from decisions made based on data from our Services, including but not limited to betting, gambling, or financial decisions

Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or their subject matter shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

You agree that any legal action or proceeding between you and Cappers API for any purpose concerning these Terms or the parties' obligations hereunder shall be brought exclusively in the federal or state courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts. You waive any objection to jurisdiction and venue in such courts.

Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any controversy or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.

Class Action Waiver

YOU AND CAPPERS API AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Cappers API agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.

If any provision of this arbitration agreement is found unenforceable, the unenforceable provision shall be severed and the remaining arbitration terms shall be enforced.

Termination

We reserve the right, in our sole discretion, to terminate, suspend, or restrict your access to the Services, immediately and without notice, for any reason, including but not limited to:

  • →Violation of these Terms or any applicable law
  • →Non-payment of fees or fraudulent payment activity
  • →Abuse of the Services or excessive API usage
  • →Use of Services for illegal gambling or prohibited activities
  • →Any conduct that we believe, in our sole discretion, is harmful to other users or our business

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination does not entitle you to any refund.

Severability and Entire Agreement

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Cappers API concerning the Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

Changes to Terms

We reserve the right to modify, amend, or update these Terms at any time in our sole discretion. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. For material changes, we may also provide notice via email. Your continued use of the Services after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Services immediately.
